-Corporate: leading legal due diligences for a CAC 40 group, following of asset/share deals.
-Litigation : representation of minority and majority shareholders - post-acquisition disputes (indemnification claims / non-competition clauses / “coups d’accordéon”), managers’ liability, dismissals of directors/managers, implementation of shareholders agreements (partner’s withdrawal, judicial appointment of experts / court-appointed managers), enforcement of by-laws, SPA, contractual liability of members of a US general partnership.
(ii) Commercial law:
-Contract law : industrial and commercial agreements, disputes relating to industrial contracts for the manufacture of assembly or bottling lines for leading European companies, various conflicts regarding the termination of commercial agreements, wrongful breach of negotiations, fraudulent misrepresentation, accountants’ liability.
-Bankruptcy: management’s liability (liaising with district attorney and liquidator), fraudulent conversion of assets, claim declarations, appointment of creditors as controllers, petition to establish ownership of assets held by the debtor.
-Competition law: unfair competition, counterfeiting, non-competition clauses, illegal poaching of employees/clients.
-Banking law: financial lease, bank’s liability (eg. obligation to advise on investments in derivative products, employees’ fraud...).
